1. Acceptance of This Agreement

These Terms of Use form a binding agreement between you and Yoora. By downloading, accessing, or using the app, you confirm that you have read, understood, and agree to be bound by these Terms and by any policies referenced here. If you do not agree, do not use the app.

We may provide certain features only to users who meet eligibility requirements and comply with applicable law. Your continued use of Yoora after any update to these Terms means you accept the revised version.

2. In-App Purchases / Virtual Currency

Yoora may offer consumable virtual currency, including coin packs, through Apple in-app purchase mechanisms. Coins have no cash value, are not a stored-value account, and may be used only within the app for the features described at the time of purchase.

All purchases are final to the fullest extent permitted by law. Coins are non-transferable, non-exchangeable, and non-refundable except where a refund is required by applicable law or by Apple’s policies. We may change the pricing, amount, or availability of coin packages at any time.

3. User Content

You retain ownership of any text, prompts, notes, selections, or other content you submit to Yoora (“User Content”). We do not claim ownership over your User Content.

To operate the service, you grant us a limited, worldwide, non-exclusive, royalty-free, temporary license to host, process, reproduce, transform, and display your User Content solely as needed to provide the app’s features, including generating cards, summaries, month reviews, and anonymous display where you have chosen to make content public. This license ends when the relevant content is deleted or when processing is no longer necessary, except to the extent retention is required by law or for legitimate service operations.

4. Indemnification

You agree to defend, indemnify, and hold harmless Yoora, its affiliates, officers, directors, employees, agents, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the app, your User Content, your violation of these Terms, your violation of any law or third-party right, or your misuse of the service.

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims.

5. User Responsibilities

You are responsible for the content you provide and for ensuring that it is accurate, lawful, and appropriate. Do not submit content that is false, misleading, abusive, harmful, infringing, or otherwise objectionable.

You are also responsible for maintaining the confidentiality of any account information or device access used to interact with Yoora. If you choose to make any month calendar public, you are responsible for understanding that anonymous display may reveal patterns or details about your activity even when direct identifiers are removed.

6. Permitted Use

Subject to your compliance with these Terms, Yoora grants you a limited, personal, non-exclusive, non-transferable, revocable license to use the app for non-commercial purposes only. No ownership rights are transferred to you under this license.

You may use Yoora to record daily moments, generate AI-based summaries and cards, review your history, and interact with approved public anonymous content, but only in the manner intended by the app and these Terms.

7. Generated Results Disclaimer

Yoora uses automated systems to create cards, short replies, monthly summaries, classifications, and other generated results. These outputs are provided for informational, reflective, and entertainment purposes only.

We do not guarantee that any generated result will be accurate, complete, helpful, appropriate, or suitable for your particular circumstances. Generated content is not medical, psychological, legal, financial, or professional advice, and you should not rely on it as such. Any reliance on generated results is at your own risk.

8. Limitation of Liability

To the fullest extent permitted by law, Yoora and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or other intangible losses, arising from or related to your use of the app.

Our total liability for any claim relating to the service will not exceed the amount you paid to us for the specific feature giving rise to the claim, or the minimum amount permitted by law if no payment was made.

9. Service Availability

Yoora is provided on an “as available” basis. We do not guarantee that the app, any feature, any content, or any AI-generated result will always be available, uninterrupted, timely, secure, or error-free.

We may modify, suspend, limit, or discontinue all or part of the service at any time, with or without notice, including for maintenance, security, legal, business, or technical reasons.

10. Intellectual Property

Yoora, including its software, design, text, graphics, branding, interface, workflows, and underlying technology, is owned by us or our licensors and is protected by intellectual property laws. Except for the limited license granted in these Terms, we reserve all rights in and to the service.

You may not copy, adapt, distribute, publicly display, reverse engineer, or create derivative works from any part of the app unless we expressly authorize it in writing or applicable law permits it despite this restriction.

11. Prohibited Conduct

You agree not to use Yoora in any unlawful, harmful, fraudulent, deceptive, or abusive manner. Prohibited conduct includes, without limitation: attempting to reverse engineer or extract source code; interfering with security or access controls; using bots, scrapers, or automated tools to manipulate the service; uploading malware or other harmful code; impersonating another person; harvesting data from other users; and submitting content that is harassing, hateful, sexually explicit, violent, exploitative, or infringing.

You may not use the app to provide or solicit medical, psychological, or professional advice in a manner that misrepresents the service, and you may not attempt to bypass usage limits, coin requirements, or content restrictions.

12. Eligibility Requirements

You must be at least 17 years old to use Yoora. By using the app, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

If you are using Yoora on behalf of another person or entity, you represent that you have authority to bind that person or entity to these Terms. If you do not have that authority, you may not use the service in that capacity.

13. Termination of Access

We may suspend or terminate your access to Yoora, in whole or in part, at any time and for any reason, including if we believe you have violated these Terms, used the app unlawfully, or created risk for us, other users, or the service.

You may stop using Yoora at any time. Termination does not eliminate obligations that by their nature should survive, including payment obligations, indemnification, intellectual property provisions, and liability limitations.

14. Description of the Service

Yoora is a lightweight “daily cherish” journal and reflection tool designed to help users record one small positive moment each day and revisit those moments through monthly review features. The app is intended for users who prefer a simple, low-pressure way to capture brief notes about everyday warmth, comfort, luck, relaxation, or a sense of being understood.

The service includes daily text-based entry, tag and scene selection, AI-generated calendar cards and gentle short responses, monthly calendars, monthly summaries, and an anonymous public showcase for selected monthly calendars. The app is intentionally limited in scope and does not provide open-ended chat, private messaging, friend relationships, or comment threads. It is also not a therapy, diagnosis, or crisis-support service.

Some features may require virtual coins obtained through Apple in-app purchases. The app may locally store recent records and summaries, and users may delete records, clear local data, and choose whether a month is shared anonymously on the public wall.

15. Disclaimer of Warranties

To the fullest extent permitted by law, the service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the app will meet your expectations, that generated content will be correct or meaningful, or that any defects will be corrected.

16. Changes to the Agreement

We may update or revise these Terms from time to time. When we do, we may post the revised Terms in the app or provide another form of notice where appropriate.

If you continue using Yoora after the effective date of the updated Terms, that continued use will constitute your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the service.

17. Governing Law

These Terms and any dispute arising out of or relating to them, the app, or your use of the service will be governed by and interpreted under the applicable laws of the jurisdiction that applies to the parties and the transaction, without regard to conflict-of-law principles to the extent those principles would require another law to apply.

Any mandatory consumer protection, platform, or other non-waivable legal rights will remain in effect to the extent required by law.
